Terms of Service
These Terms govern your use of the Tolvane desktop application, the website at www.tolvane.ai and related services (together, the "Service"), provided by Code Crafted Nexus LLC, 160 Harris St, Grand Rivers, KY 42045, United States ("Code Crafted Nexus", "we", "us"). By installing or using the Service you agree to these Terms. If you do not agree, do not use it.
1. License
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Tolvane on computers you own or control, for your own lawful use. You may not copy, modify, reverse engineer, decompile, resell, sublicense or redistribute the software, except to the extent applicable law expressly permits reverse engineering or decompilation for interoperability despite this restriction, and only after you have asked us in writing for the information you need and we have not provided it within a reasonable time.
2. Accounts
You need an account to use credits and rendering features. You are responsible for your account credentials and for activity under your account. You must provide accurate information and be at least 18 years old, or the age of majority where you live.
3. Credits and payments
- Some actions use credits. The cost of each action is shown in the app before it runs. We may change credit costs and the prices of credit packs at any time for future purchases. For monthly plans, we will give you at least thirty days' notice by email or in the app before a price increase takes effect, and you may cancel before it does.
- Credits are purchased as one-time packs or through a monthly plan. They have no cash value and cannot be transferred or redeemed for money, except as required by law or the Refund Policy.
- If a generation fails on our side, the credits for that action are returned to your balance.
- Payments are processed by Paddle.com Market Limited and its affiliates, which act as the merchant of record. Your purchase is a sale by Paddle and is subject to Paddle's checkout terms, while these Terms govern your license to use Tolvane. Paddle collects and remits taxes and handles invoices and payment data. Prices shown on our site may exclude sales tax, VAT or similar taxes, which Paddle calculates and shows at checkout.
- If you are a consumer in the EU or UK and you start using credits or generating songs straight after buying, you ask for immediate supply of digital content and acknowledge that your statutory right of withdrawal may be lost once that supply has begun. This does not affect our voluntary 14-day money-back guarantee in the Refund Policy.
- Monthly plans renew automatically each month at the then-current fee until canceled. You can cancel at any time through the link in your Paddle receipt or by emailing support@tolvane.ai. Canceling stops future charges, and you keep access to paid features until the end of the period you already paid for.
4. Your content and the music you create
You keep the rights you have in anything you provide to the Service, including lyrics, prompts, reference audio and images ("Inputs"). You grant us the limited permission needed to process Inputs and deliver the results to you, including sending them to the third-party providers described in the Privacy Policy.
You represent and warrant that you own or have obtained all necessary rights, licenses, consents and permissions (including copyright, trademark, and rights of publicity or privacy) for all Inputs you submit, including any reference audio, vocal recordings or sample materials. Do not upload audio containing the voice of any individual without their express written consent.
As between you and us, and to the extent permitted by applicable law and our underlying providers' terms, you own all right, title and interest (if any) in and to the audio and images the Service generates for you ("Outputs"). To the extent Code Crafted Nexus holds any intellectual property rights in the Outputs, we assign those rights to you or, if assignment is not permitted, grant you a non-exclusive, worldwide, royalty-free license to use them for personal and commercial purposes, subject to these Terms and the Acceptable Use policy. You are responsible for how you use and distribute Outputs.
Commercial use of Outputs, including distribution to digital streaming platforms, broadcast or commercial licensing, depends on the plan, commercial license rights and terms of our third-party audio generation providers (such as ElevenLabs) in effect when the Output was generated. You are responsible for making sure your intended use complies with these Terms and with those provider terms.
5. Third-party services
The Service relies on third-party providers for music generation, language models, authentication, storage and payments. Their availability and terms can affect the Service. We are not responsible for third-party services outside our control.
6. Updates
The app can check for updates, bug fixes and security patches. Updates are downloaded and installed only when you choose to accept them. Timely updates may be needed for security, stability and compatibility with our online services, and we are not liable for problems that result from you not installing, or delaying, an update we have made available. We may change, suspend or discontinue features, or stop supporting older versions of the app, at any time.
7. Suspension and termination
We may suspend or end your access if you break these Terms or the Acceptable Use policy, or if required by law. You can stop using the Service and delete your account at any time. Sections that by nature should survive termination will do so.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We make no representations or warranties about the legal status, copyrightability, originality or protectability of any Output. Because the Service uses generative artificial intelligence, Outputs may not be unique, and the Service may generate the same or similar Outputs for other users. You use, commercialize and distribute Outputs at your own risk.
9. Limitation of liability
To the maximum extent permitted by law, Code Crafted Nexus will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, gross negligence or intentional misconduct, or for any statutory consumer rights that cannot lawfully be waived or excluded.
10. Indemnity
You agree to hold harmless and indemnify Code Crafted Nexus LLC, its officers and its service providers against third-party claims, damages, liabilities and expenses arising directly from your submission of Inputs you had no right to use (including unauthorized reference audio or voices), your infringement of third-party intellectual property or publicity rights, or your material breach of these Terms, to the extent permitted by law.
11. Governing law
These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict-of-law rules. Any legal action under these Terms will be brought in the state or federal courts located in Kentucky, except where mandatory consumer protection law in your country of residence requires that you be able to bring or defend a claim in your local courts.
12. Copyright complaints (DMCA)
We respect the rights of creators. If you believe that a song, upload or other content on the Service infringes your copyright, send a notice to our designated agent with: (a) your name and contact details and an electronic or physical signature; (b) a description of the copyrighted work you say is infringed; (c) a description of the content you say infringes it and where we can find it (for example the account, song title or link); (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner.
Designated agent: Legal Department, Code Crafted Nexus LLC, 160 Harris St, Grand Rivers, KY 42045, USA. Email: legal@tolvane.ai. Phone: 1-270-291-0125. Registered with the U.S. Copyright Office (DMCA-1082915).
We may remove or disable access to content that is the subject of a valid notice and may tell the user who provided it. If you believe content was removed by mistake, you may send us a counter-notice with your contact details, a description of the removed content and its former location, a statement under penalty of perjury that you believe it was removed by mistake or misidentification, and your consent to the jurisdiction of the federal court for your address. We may restore the content within 10 to 14 business days after receiving a valid counter-notice unless the complainant tells us it has filed a court action. Sending a false notice or counter-notice may make you liable for damages.
Repeat infringers. We will suspend or end the accounts of users who are repeat infringers, in appropriate circumstances.
13. Changes
We may update these Terms. If a change is material we will tell you in the app or by email. Continuing to use the Service after a change means you accept it.
